These Finnish Data Center (hereinafter jointly “FDCA”) Terms and Conditions including any Privacy Policy, Code of Conduct and or other applicable policies and guidelines (hereinafter jointly the "Terms") set out the terms and conditions applicable to and in connection with the participation in and use of FDCA services and FDCA events (as defined below). By using or purchasing FDCA Services and/or tickets for FDCA events including participating in the events, you are regarded a User (as defined below) and agree to comply with and be bound by these Terms, which may be updated from time to time.

1. Eligibility and Participation Requirements


 The “User” of FDCA services or participant in FDCA events is defined as meaning any individual or legal entity who is the purchaser of, user of, participant in, partner to and/or assignee of tickets to any of the FDCA services and/or FDCA events. If a User is representing a legal entity, the User confirms that the legal entity accepts these Terms and that the User has the right to represent such legal entity for the purposes of these Terms. The User or representative of a legal entity is liable for the compliance of these Terms by each employee of such legal entity.

2. Definitions


“User” meaning any individual or legal entity who is the purchaser of, user of, participant in, partner to and/or assignee of tickets to any of the FDCA Services and/or FDCA Events. 

3. Agreement to Terms


By using or purchasing FDCA Services and/or tickets for FDCA Events including participating in the events, you are regarded a User (as defined above) and agree to comply with and be bound by these Terms, which may be updated from time to time. 

4. General Rules and Restrictions


In order to attend any FDCA Event, the User must be in possession of a ticket purchased or assigned to them through a FDCA Service. FDCA’s failure to enforce a right does not mean that FDCA has waived that right. FDCA may assign its rights and obligations under the Terms. 

5. Ticket Registration


 

5.1 Accuracy of Information


 In the process of registering for FDCA event, each User is responsible and liable for submitting precise and complete information. If, for any reason, submitted data is found to be materially inaccurate or in violation of the Terms, FDCA reserves the right to revoke the ticket without any form of compensation.

5.2 TICKET INFORMATION CHANGE



5.3 TICKET TRANSFER


 After a ticket purchase, a User may transfer their ticket to another individual. The original User, the transferor, must make the necessary changes as per the instructions sent in the confirmation email. The new User, the transferee, will become bound by the Terms, including for the avoidance of doubt the Code of Conduct, Privacy Policy and any other policy and/or guideline applicable for the respective FDCA Service and FDCA Event. The transferor ceases to have ownership upon the transfer. The User may contact FDCA on events@fdca.fi with questions. Tickets for FDCA Events are non-transferable outside the FDCA Services and may not be resold for profit or subjected to any additional fees or payments beyond their original purchase price. Any attempt to sell, assign, or transfer tickets at a higher price, or to charge fees for their use, is strictly prohibited and may result in the invalidation of the ticket(s) without a refund.

5.4 TICKET PRESENTATION


 It is imperative for Users to present valid tickets at the event entrance for access to FDCA Event. Access to the event app, is not a valid admission to FDCA Events and a User will be denied to attendance without a valid ticket. If nothing else is determined in the User’s confirmation mail, valid tickets presented at the entrance will be exchanged for a printed badge, which Users are required to wear throughout the event.

6. TICKET PRICES & FEES


Ticket prices, as displayed on the Finnish Data Center Association and/or Future Data Summit website, do not include the Value Added Tax (VAT). FDCA retains the right to adjust ticket prices, however, such modifications do not impact tickets already in possession. Additionally, supplementary fees may be applicable based on the chosen payment method. FDCA reserves the right to not accept invoice payments on tickets.

7. TICKET REFUNDS


  

7.1 REFUNDS


Tickets are non-refundable, although they remain transferable to another individual, as specified in Clause.

7.2 Additional service fees may be applicable


If FDCA offers products or services that are subject to mandatory refund regulation, such regulation shall be minimized to the furthest extent possible while still complying with mandatory regulation.

7.3 Prohibited Actions


Ticket resale whether physically or online is strictly prohibited. Any identified tickets for resale will be nullified and no refund will be given, and the User will be denied access to the event premises.

8.1 Required Visibility of Badge


Upon obtaining your badge, it is imperative to handle it with care and always ensure its visibility throughout the event. FDCA assumes no liability/ responsibility for lost, misplaced or damaged badges. It is important to note that FDCA assumes no liability/ responsibility for lost, stolen, damaged, or destroyed tickets or badges.

9. PERSONAL DATA


FDCA collects and processes data regarding the User. This data is subject to the FDCA Privacy Policy and may be shared with selected FDCA Event partners and projects, as detailed on https://www.fdca.fi/privacy-policy/

FDCA does not share your personal data with third parties outside of FDCA Events organizer partners unless one of the following circumstances applies: It is necessary for the purposes of this Privacy Statement.

FDCA may share your personal data with third parties outside of FDCA Event Organizers if we have a good-faith belief that access to and use of the personal data is reasonably necessary to: (i) meet any applicable law, regulation, and/or court order; (ii) Detect, prevent, or otherwise address fraud, security or technical issues; and/or (iii) protect the interests, properties or safety of FDCA/Future Data Summit, our users or the public as far as in accordance with the law.

FDCA Events will co-operate with Finnish legal authorities such as The Police of Finland, Finnish Customs, The Finnish security and intelligence service (Supo), The National Bureau of Investigation, Finnish Defence Forces and/or Finnish Border Guard if needed.  

10. MEDIA POLICY


By participating in FDCA Event, the User consents to being photographed and video recorded. FDCA has exclusive ownership of such media and has an implied right to use it for various purposes, including publications, websites, videos, blog posts and social media content, and other marketing and promotional activities, without further written permission from the User. The User waives any rights in any such media. All Users are allowed to create their own videos, photography, and other media content during the FDCA Events to share it on their own channels, under the conditions provided in section 11 on Intellectual property. 

11. Intellectual property


FDCA and Future Data Summit -brand names and logos are owned by FDCA, and may not be copied, imitated or used without prior written consent of FDCA. Nothing in these Terms shall constitute a transfer of any intellectual property rights or other rights of FDCA to the User. It is strictly forbidden for any User to attempt to host or organize any event, online or otherwise, in conjunction with, contiguous to or purporting to be related to FDCA without prior written consent and co-operation of FDCA Events. 

12. Safety During The Event


FDCA reserves the right to expel individuals not in compliance with laws, regulations, policies, or these Terms, including the Code of Conduct. Offensive or inappropriate behaviour may lead to removal without reimbursement. 

13. Cancellations and Postponements


 

13.1 Cancellation Due To Unforeseen Circumstances


FDCA is not responsible for losses and/or damages incurred due to changes including alterations, cancellations, rescheduling, or postponing of a FDCA Event. In case of cancellation or rescheduling due to unforeseen circumstances, FDCA reserves the right to change the dates and times of all FDCA Events.

13.2  Postponements and Arrangements Of New Dates


If FDCA cancels or reschedules any FDCA Event for a new date and/or time, FDCA may, at its discretion, transfer the ticket(s) to be valid for the new date and/or time, or refund costs related to FDCA Events paid by the User upon request within a reasonable time limit specified by FDCA on a case-by-case basis, as specified via e-mail to the User. If the User does not contact FDCA about a refund within this reasonable time limit (which will be at least 30 days), FDCA will not be liable for any refund or reimbursement.

13.3 Substitution and Rights To Make Changes


FDCA also reserves the right to make changes to a FDCA Event and related schedules. Please note that while speakers and topics may be confirmed, FDCA may need to make substitutions, alterations, or cancellations due to circumstances beyond its control. Any changes will be announced on FDCA’s channels as soon as possible. Changes in the program lineup, partner attendance and cancellation of certain parts of the stage program do not justify ticket refunds or compensation of any kind. 

14 LIABILITY


FDCA endeavours to maintain the operational continuity of its services, but occasional interruptions may occur due to technical issues or scheduled maintenance. FDCA retains the right to modify or discontinue any functions or features of the FDCA Services at its discretion. To the maximum extent allowed by applicable laws, FDCA disclaims liability/ responsibility and shall not be liable for any direct, indirect, or consequential, or punitive damages resulting from the FDCA Services and FDCA Events, including but not limited to loss of profits, even if advised of the possibility of such damages. The maximum liability of FDCA arising from or in connection with the FDCA Services and FDCA Events shall not exceed the total amount paid by the User for such respective FDCA Service or FDCA Event. Unless mandatory law dictates otherwise, Users are required to report any damages within 30 days of their identification to initiate a claim. FDCA is not held liable for lost, stolen, or damaged tickets, badges, and wristbands.

15 force majeure


FDCA bears no responsibility for any failure to fulfill its obligations in the occurrence of a Force Majeure. 

15.1 Circumstances of Force Majeure


For the purposes of these Terms, “Force Majeure” are obstacles or circumstances beyond FDCA’s control including, but not limited to, the following examples: (1) acts of war, invasion, hostilities, armed conflict, terrorism, or sabotage; (2) acts of authority, compliance with laws or governmental orders, rules, regulations, curfew restrictions, expropriation, nationalization, or compulsory acquisition; (3) widespread or nation-wide strikes, go-slows, and lockouts; (4) natural events such as lightning, fire, earthquake, flood, storm, ice, cyclone, typhoon, tornado, epidemic, or other disease outbreaks; (5) radioactive contamination, ionizing radiation, explosion, or chemical contamination, and (6) impacts of a pandemic, encompassing authority restrictions or other burdensome effects beyond reasonably foreseeable circumstances, including and not only restricted to potential mutations and other pandemics.

15.2 the 60 day rule


Should a Force Majeure event lead to a delay or non-performance of FDCA Event for a duration exceeding sixty (60) days, the Users will automatically have their tickets transferred to a new event date, and financial reimbursement will not be available.

15.3 Subcontractor and Third Parties


Furthermore, FDCA is exempt from liability when a FDCA subcontractor or third party experiences a Force Majeure event, and obtaining a subcontract from another source is impractical without incurring unreasonable costs or significant delays.

16 Governing law and disputes


The English language terms and conditions shall be considered as the basis for any interpretation disputes. Any disputes between the parties that cannot be resolved amicably shall be settled in the first instance by the Helsinki District Court. The applicable law is Finnish law.
